Terms and Conditions:

LOCATION OF CONFERENCES: The Conference and Exhibition will be held in Philadelphia, PA or other cities determined by WC Research, Inc. All measurements and exhibit and meeting space are as accurate as possible, but WC Research, Inc reserves the right to make such modifications and change exhibit space assignments as may be necessary to adjust each floor plan at any time to meet the needs of WC Research, Inc. Sponsors and exhibits.

EXHIBIT SPACE EQUIPMENT AND SERVICE INFORMATION: Sponsor agrees to be bound by the rules and regulations as may be established from time to time by WC Research, Inc and as set forth in the Exhibitor Service Manual or otherwise, and to abide by all applicable rules as set forth in the contracts of labor unions whose jurisdictions apply to this exhibition inn this facility. All exhibits must maintain a professional appearance at all times.

WC Research, Inc reserves the right to restrict individuals. exhibits or printed matter that because of noise, method of operation, materials or for any other reason become objectionable, and also to prohibit or remove any exhibit that, in the opinion of WC Research, Inc, may detract from the general character of the Exposition as a whole or consists of products or services inconsistent with the purpose of the exhibition.

CANCELLATION & REDUCTION: If the sponsor wants to cancel or reduce this agreement, the Sponsor must present letter of cancellation on Company letterhead to WC Research, Inc. Payments are due in full upon receipt of invoice, or at the scheduled times. A late charge may apply. The Sponsor agrees that this is a binding contract and that sums payable to WC Research, Inc hereunder shall be retained or received WC Research, Inc as liquidated damages ("Cancellation Fee") and not as penalty. If the event date is chanced by WC Research, Inc for any reason the sponsor will be entitled to a full refund.

PRIVATE FUNCTIONS: WC Research, Inc reserves the right to coordinate all private receptions and hospitality, associated with sponsor/exhibitor presence associated with the event. In this capacity, WC Research, Inc requires that all functions of 6 people or more to be reported to show management. WC Research, Inc keeps a master calendar of sponsored hospitality, receptions, dinners, and other meals to balance the overall needs of all delegates, speakers, and sponsors. Sponsored events at the host hotel must be planned though WC Research, Inc. Offsite sponsored events may benefit from coordination with World Congress.

ACCREDITATION: A substantial percentage of the attendees attracted to World Congress are physicians and because all physicians need continuing medical education (CME) credits to remain Board certified, it is critical that all aspects of WC Research, Inc obtain accreditation. In order to accomplish this, all speakers and all sponsors must complete disclosure forms that certify their session are balanced, independent and objective.

TAXES AND LICENSES: Sponsor shall be responsible for obtaining any licenses, permits or approvals required under local or state law applicable to their activity at the Exposition. Sponsor shall be responsible for obtaining any tax identification numbers and paying all taxes, license fees or other charges that shall become due to any governmental authority in connection with their activity at the Exposition.

LIABILITY: Neither WC Research, Inc, the facility, the decorator, its employees, nor its agents or representatives, will be responsible for any injury, loss or damage that may occur to the Sponsor or to the Sponsor's employees or property from any cause whatsoever. Under no circumstance will WC Research, Inc be liable for lost profits or other incidental or consequential damages. Sponsors shall obtain, at its own expense, adequate insurance against any such injury, loss or damage. WC Research, Inc shall not be liable for failure to perform its obligations under this contract as a result of strikes, riots, or acts of God. Anyone visiting, viewing or otherwise participating in the Sponsor's exhibit is deemed to be the invitee or licensee of the Sponsor, rather than the invitee or licensee of WC Research, Inc. Sponsor agrees to abide by existing agreements and regulations covering the use of services or labor in the conference and exhibit facility. There is no other agreement or warranty between the Sponsor and WC Research, Inc except as set forth in this document. The rights of WC Research, Inc under this contract shall not be deemed waived except as specifically stated in writing and signed by an authorized officer of WC Research, Inc. Any action that WC Research, Inc or Sponsor may bring against the other, based upon or in any way relating to this Exhibit Space Contract or its performance, shall be brought in a federal or state court located within the Commonwealth of Massachusetts, and WC Research, Inc and Sponsor do hereby waive all questions of personal jurisdiction or venue in order to give effect of this Provision.

SECURITY AND INSURANCE: WC Research, Inc will provide guard service during the hours the conference is closed. However, the Sponsor is solely and fully responsible for its own exhibit materials and should insure its exhibit against loss or damage from any cause whatsoever. All property of a Sponsor is understood to remain in its care, custody and control in transit to or from or within the confines of the Exhibit Hall.

CARE OF BUILDING AND EQUIPMENT: Sponsors or agents must not injure or deface the walls or floors of the building, the exhibit spaces, or the equipment of the exhibit spaces. When such damage appears, the Sponsor is liable to the owner of the property so damaged. All materials used in decoration must be flame proofed. Electrical wiring must conform to the National Electric Code safety rules and all other applicable rules, regulations, fire laws, electrical codes and other laws of the city in which the Exposition is located, and of any other government authority maintaining jurisdiction over the said exposition facility, which affect the installation, conduct and disassembly of the exhibit. Combustible materials or explosives are not permitted in the Hotel. The Sponsor shall also comply with all reasonable requests of officials of the Hotel and WC Research, Inc with respect to the installation, conduct, and disassembly of its exhibit.
